Our online shop is intended exclusively for businesses within the meaning of Section 14 of the German Civil Code (BGB).
Sales to consumers within the meaning of Section 13 of the German Civil Code (BGB) are not permitted.
Orders may only be placed for commercial or business purposes.
As part of the ordering process, customers are required to provide, among other things, their company name and VAT identification number.
By placing an order, the customer confirms that they are acting as a business and that the order is being placed in the course of their commercial or self-employed professional activity.
Orders for private purposes are excluded.
We reserve the right to reject or cancel orders if there are reasonable grounds to doubt that the person placing the order is acting as a business.
2. Conclusion of the Contract
The presentation of our products in the online shop does not constitute a legally binding offer to conclude a purchase contract.

Delivery shall be made to the delivery address provided by the customer.

The expected delivery time is stated for the respective product or during the ordering process.
If delivery is delayed due to circumstances beyond our control, we will inform the customer accordingly.
6. Shipping and Delivery Costs
The applicable shipping and delivery costs will be stated in the online shop or in the respective offer.
For larger, heavier or bulky orders, delivery may be carried out by a freight forwarding company.
Unless expressly agreed otherwise, delivery shall be made to the specified delivery address.

The delivered goods shall remain our property until all claims arising from the respective purchase contract have been paid in full.
The customer is entitled to resell goods subject to retention of title in the ordinary course of business, provided that the statutory requirements for doing so are met.
8. Inspection and Notification of Defects
The customer shall inspect the goods immediately upon receipt, insofar as this is practicable in the ordinary course of business.
Any apparent defects must be reported to us without undue delay.
For merchants, the statutory obligations to inspect and give notice of defects pursuant to Sections 377 et seq. of the German Commercial Code (HGB) shall apply in particular.
Hidden defects must be reported immediately after their discovery.
9. Liability for Defects
The statutory provisions on liability for defects shall apply unless a valid deviating agreement has been made in these GTC.
In the event of a justified defect, we shall initially have the right to remedy the defect.
The type of subsequent performance shall be determined in accordance with the statutory provisions.
Further claims shall be governed by the applicable statutory provisions.
10. No Voluntary Returns
As our online shop is exclusively available to businesses, our customers do not have a statutory consumer right of withdrawal.
We do not offer voluntary returns or exchanges of goods that are free from defects and have been delivered in accordance with the contract.
A return solely due to a subsequent change of mind, dissatisfaction with the goods or lack of need is therefore excluded.
Statutory claims relating to defects and other mandatory statutory rights remain unaffected.
11. Liability
We shall be fully liable for damages caused by intent or gross negligence.
We shall be liable in accordance with the statutory provisions for damages resulting from injury to life, body or health.
In cases of ordinary negligence, we shall only be liable for breaches of essential contractual obligations.
In such cases, liability shall be limited to foreseeable and typically occurring damage.
Liability under mandatory statutory provisions shall remain unaffected.
12. Force Majeure
Events beyond our control that substantially impede or temporarily prevent delivery or performance shall constitute cases of force majeure.
These include, in particular, natural disasters, war, official measures, strikes, operational disruptions, power outages, significant supply shortages and comparable events.
Performance deadlines shall be extended by the duration of the disruption, insofar as legally permissible.
13. Set-Off and Right of Retention
The customer may only set off claims against our claims if the counterclaims are undisputed or have been legally established.
A right of retention may only be exercised insofar as the counterclaim arises from the same contractual relationship.
14. Place of Jurisdiction
If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the contractual relationship shall be our registered business address in Haan.
Mandatory statutory places of jurisdiction shall remain unaffected.
15. Applicable Law
The law of the Federal Republic of Germany shall apply.
The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded to the extent legally permissible.
16. Final Provisions
Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
The statutory provision shall replace the invalid provision insofar as such a provision exists.

No Statutory Consumer Right of Withdrawal
As our contracts are concluded exclusively with businesses, our customers do not have a statutory right of withdrawal under the provisions applicable to consumer contracts.
An order therefore cannot be cancelled or withdrawn from on the basis of a statutory consumer right of withdrawal.
No Voluntary Returns
We do not offer voluntary returns or exchanges of goods that are free from defects and have been delivered in accordance with the contract.
A return is therefore not possible, in particular because the goods are no longer required, the order was placed by mistake, or the customer subsequently decides to purchase a different product.
Defective or Incorrect Deliveries
